Cyzo User Agreement (Terms and Conditions)

This User Agreement ("Agreement") governs your access to and use of the Cyzo platform (“Platform”), including all associated services provided via Web, Android, and iOS applications.

I. Agreement, Access, and Platform Operation
1. Acceptance and Interpretation
By using the Cyzo platform, you confirm your acceptance of and agreement to be bound by these Terms, the Privacy Policy, the Copyright Policy, the Code of Conduct, and the Fees and Charges Policy. If you do not agree, you must cease use of the Platform immediately.
2. Eligibility
The Cyzo platform is available only to individuals who are at least 18 years old and possess the legal capacity to enter this contract.
3. Platform Availability and Access
The Cyzo platform is currently available via the Web. Android and iOS platforms are coming soon and will be governed by these same terms upon release.
Access to the Cyzo platform is provided exclusively through a passwordless sign-in via an email link. You are solely responsible for ensuring the security and integrity of your registered email account and the devices used to access the sign-in link. Cyzo is not liable for any unauthorized access to your account arising from situations primarily due to the user's own actions or negligence, or factors outside the Platform's direct control.
Certain threat-intelligence feeds and security advisories included in the Cyzo platform are subject to jurisdictional restrictions. As a result, users located in specific countries may be prohibited from accessing the Platform.
Access to the Cyzo platform is not permitted in any country or region subject to trade restrictions, sanctions, or export controls applicable to the Platform, our partners, or our data sources, including but not limited to regions restricted by the laws of the United States, the European Union, the United Kingdom, Australia, or the United Nations.
We may maintain a published list of unsupported or restricted countries, which may be updated from time to time. Access to the Platform may be blocked or limited based on this list.
4. User Profile and Identity
All Users are required to complete and maintain accurate account details, including their name and country of residence, before using any part of the platform. This information is collected for identification, service delivery, and compliance purposes. Additional requirements from the payment service providers that manage subscriptions may be applicable as required by their terms and conditions.
5. Content Tiers and Commencement of Service
Access to content is provided according to the User’s active subscription tier. Currently, only Basic Subscription tier is available.
Active Subscription Requirement: Any subscription will be deemed Active only after the User has:
· completed their profile,
· accepted these Terms, and
· entered an active subscription period (including any free trial).
Additional subscription tiers may be introduced in the future as the Platform expands its available services.

II. Service, Data, and Liability
6. Service Description and User Services
Cyzo delivers cybersecurity news, advisories, and alerts sourced from known good providers (e.g., CISA KEV, ASD, NSCS) and processes this data using AI to simplify summaries and required actions. Support and assistance are available via our designated User Services channels on the Platform.
7. No Warranties
To the maximum extent permitted by applicable law, Cyzo provides the services, software, data, reports, and all related content on an “as is,” “as available,” and “with all faults” basis, without any warranties or representations of any kind, whether express, implied, statutory, or otherwise.
Without limiting the foregoing, Cyzo expressly disclaims all warranties, conditions, and representations of any kind, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, system integration, or availability.
Cyzo makes no warranty or representation that:
a. The services will be uninterrupted, timely, secure, or error-free;
b. The services or any content, data, or reports provided will be accurate, reliable, complete, current, or free of harmful components;
c. Any identified vulnerabilities, security alerts, or recommendations will eliminate, mitigate, or prevent all cybersecurity threats;
d. The results or outcomes obtained from use of the services will meet the user’s expectations or intended objectives; or
e. Any errors or defects in the services will be corrected within a particular timeframe or at all.
All use of the Cyzo platform, including reliance on cybersecurity alerts, risk intelligence, or automated analyses, is undertaken solely at the user’s own risk and discretion. The user is responsible for implementing appropriate safeguards, backups, and security measures to protect its own systems and data.
No advice, information, or communication, whether oral or written, obtained from Cyzo or through the services shall create any warranty not expressly stated in these Terms.
8. No Warranty as to Each User's Purported Identity
Cyzo does not guarantee the purported identity of any other User on the platform. You interact with other users (if communications are enabled) at your own risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Cyzo, its affiliates, subsidiaries, directors, officers, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, goodwill, anticipated savings, business opportunities, use, data, systems, or other intangible losses, whether incurred directly or indirectly, and whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Cyzo has been advised of the possibility of such damages.
Without limiting the generality of the foregoing, Cyzo shall not be liable for any damages, losses, or liabilities arising out of or in connection with, including but not limited to:
a. Reliance on Content or Data: Any use of or reliance placed upon information, reports, alerts, analytics, or recommendations provided by Cyzo, including without limitation any cybersecurity threat data, vulnerability intelligence (such as CVE, CISA KEV, or other third-party data sources), or system health indicators, whether or not such information is accurate, complete, or current.
b. Service Interruptions or Failures: Any interruption, suspension, delay, degradation, or cessation of the service, in whole or in part, including those caused by scheduled maintenance, technical malfunctions, power outages, denial-of-service attacks, internet disruptions, or failures of third-party infrastructure providers.
c. Unauthorized Access or Data Alteration: Any unauthorized access to, use of, or alteration, destruction, loss, or corruption of transmissions, stored data, or systems, including but not limited to unauthorized access resulting from compromised credentials, phishing, social engineering, or other malicious activity.
d. Security Incidents and Threat Events: Any cybersecurity incidents, malware infections, data breaches, ransomware attacks, exploits, or other security events affecting the user’s devices, systems, or networks.
e. Third-Party Services and Integrations: Any actions, omissions, or failures of third-party applications, APIs, or data sources integrated with or utilized by Cyzo, including but not limited to external databases, analytics tools, notification systems, or payment processors.
f. User Acts, Misuse, or Misconfiguration: Any losses or damages resulting from user error, negligence, misuse, misconfiguration, or failure to follow Cyzo’s documentation, security recommendations, or reasonable usage policies.
g. Compliance and Legal Obligations: Any failure by the user to comply with applicable laws, regulations, or contractual obligations when using the service, including data protection, privacy, or cybersecurity obligations.
h. Force Majeure and Unforeseeable Events: Any delay or failure in performance resulting from events beyond Cyzo’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, embargoes, government actions, or global network outages.
In no event shall Cyzo’s total cumulative liability for all claims arising out of or relating to the services, whether in contract, tort (including negligence), or otherwise, exceed the total amount paid by the user (if any) for access to the Cyzo service in the twelve (12) months immediately preceding the event giving rise to such liability.
10. Legal Limitations
If any applicable law prohibits or limits our ability to limit liability or exclude certain damages, our liability will be limited to the maximum extent permitted by that law.

III. Fees, Payment, and Termination
11. Trial, Payment Details, and Commencement of Service
To commence the service, including the trial period, Users must complete their profile, accept these terms, and subscribe to the platform using one of our payment service providers. Access to alerts and data begins only after these steps are completed.
12. Fees and Charges
The Cyzo platform is subject to subscription fees as described in the Fees and Charges Policy. Subscription pricing may vary by country, currency, and platform.
Prices are displayed in local currency where supported. In regions where local currency pricing is not available, subscription fees may be shown and charged in USD or EUR, depending on the User’s region.

13. Payment Administration Agent and Currencies
Cyzo uses third-party payment service providers, including Stripe, Apple App Store, and Google Play Store, to process payments, manage subscriptions, and calculate applicable taxes.
Pricing, currency conversion, and tax treatment for subscriptions purchased through Apple App Store or Google Play Store are determined by the respective platform and the User’s account country and billing profile.
Cyzo does not store or process credit card details and does not control exchange rates or regional pricing adjustments applied by third-party payment providers.
14. Taxes
Applicable Taxes are calculated and collected automatically by our payment service providers based on the User's country of residence and the transaction's tax jurisdiction. The final charge reflects the Subscription Fee and any determined tax amounts, whether included in the base price or added on top. Users are responsible for any taxes imposed by their local authorities that are not collected at the point of sale.
15. Promotion and Feedback
Any Promotion (e.g., referral codes) is subject to its own terms. Any Feedback you provide regarding the service may be used by Cyzo for product improvement without compensation to you.
16. Inactive Accounts
Accounts that remain inactive or fail to renew their subscription for a period defined in the Fees and Charges Document may be subject to suspension or permanent closure.
17. Closing Your Account
You may Close Your Account at any time by notifying User Services. Closure will be processed once all outstanding fees have been settled.

IV. Conduct and Enforcement
18. Abusing Cyzo
You shall not resort to any form of criminal activity through the Platform, including fraudulent use, data scraping, or interference with the platform’s operation.
19. Abusing Cyzo: Access and Interference
You agree not to use any robot, spider, scraping device, or manual process to monitor or copy content from the platform without our express written permission.
20. Off-Platform Engagement Fee and Other Disputes With Users
Users are prohibited from engaging in communications or transactions outside of the Platform if such activities violate these Terms. Breach of this prohibition will result in an Off-Platform Engagement Fee being levied against the User's payment method. Cyzo does not mediate Other Disputes With Users; such disputes must be handled independently.
21. Reputation and Reviews
You agree to use fair and truthful practices when providing Reputation and Reviews about Cyzo or its services on public forums.
22. Right to Refuse Service
Cyzo reserves the Right to Refuse Service and terminate accounts immediately if a User breaches the Code of Conduct, fails to maintain current payment details, or engages in fraudulent activity.
23. Indemnity and Security
You agree to Indemnify Cyzo against any losses, liabilities, claims, or expenses arising from your use of the service or breach of this Agreement. You acknowledge our commitment to Security measures but accept responsibility for security failures resulting from your negligence.

V. Final Provisions
24. Disputes With Us
Any Disputes With Us must be escalated to User Services first for resolution.
25. Survival and Release
Sections relating to liability, indemnity, disclaimers, Survival of terms, and legal jurisdiction shall remain in full force and effect after the termination of this Agreement.
26. Notices
Notices to Cyzo must be made via certified mail to the registered business address. Notices to you will be via the email address associated with your account.

27. Law and Forum for Legal Disputes
This Agreement is governed by the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia for all legal disputes.
28. Severability, Interpretation, and No Waiver
If any provision is found unenforceable, it will be severed, and the remaining terms will remain in effect (Severability). Failure by Cyzo to enforce a provision does not constitute a No Waiver of that provision.
